Terms of Service

1. General

(1) These General Terms and Conditions are the binding rules that apply between PaperSpace GmbH, Am Bartelskamp 16, D-38553 Wasbüttel, represented by the authorized managing director Martin Stämmler, hereinafter referred to as "PAPERSPACE" or "we/us" — and you when using the PaperSpace App. These T&Cs apply to all users who use or wish to use the services of the PaperSpace App. The rules are aimed at consumers, § 13 BGB, and entrepreneurs, § 14 BGB, primarily at private individuals, freelancers, and managing directors of micro-businesses.

(2) The PaperSpace App offers features such as scanning and uploading documents, automatic categorization, calendar entries for deadlines, sharing documents, and a chatbot for questions about the documents. For micro-businesses, there is also a white-label version as a no-code solution for basic document requirements.

(3) PAPERSPACE reserves the right to decline the conclusion of a contract if there are important reasons. Such a reason may particularly be given for PAPERSPACE if there is a conflict of interest or one can arise, or other legal or statutory reasons oppose it.

2. Registration and Procedure for App Use

(1) To use the services of the PaperSpace App, registration with a current email address and the desired, personal password is required. A prerequisite for the conclusion of the contract is consent to the privacy policy.

(2) Each customer can only create one user account. If a customer sets up multiple user accounts, we may delete the additional accounts. Sharing with third parties is not permitted. Customers are obliged to take the necessary measures to ensure the confidentiality of their account data and their password and to keep their password secret. In the event of account misuse or suspicion thereof, and in the case of misuse or loss of the password, PAPERSPACE must be informed immediately. In such cases, PAPERSPACE is entitled to block the account entirely or temporarily.

(3) Every user must have reached at least the age of 18. Legal representatives can set up a profile for their minor children. Legal representatives and guardians are responsible for using the app services.

3. Prices, Duration, and Termination

(1) The contract is concluded for the duration agreed upon. The contract terms are available either monthly or annually. If the contract is not terminated, it automatically extends for the respective period.

(2) The notice period is 1 day before the end of the contract term. The termination can be made within the WebApp. Alternatively, sending the termination in written form is possible. The receipt by PAPERSPACE is crucial for adhering to the deadline.

(3) Three subscription plans are offered.

  1. Basic Plan (€8,00/month or €72,00/year)
  2. Family Plan (€12,00/month or €120,00/year)
  3. Professional Plan (€24,00/month or €240,00/year)

(4) Payment is made via PayPal Checkout (PayPal account or credit card).

4. Provision of Services

(1) The services offered by PAPERSPACE are subject to continuous development, which may change reasonably over time. PAPERSPACE reserves the right to temporarily or permanently discontinue the provision of services (or features within the services) for individual or all users. PAPERSPACE will notify you of any changes or restrictions to the services with reasonable notice.

(2) An availability of the app of 98% on an annual average is aimed for. Excluded are times when the servers are unavailable due to routine and previously announced maintenance work or disruptions beyond PAPERSPACE's control.

(3) PAPERSPACE strives to keep the software up-to-date, without however a legal claim to this. PAPERSPACE can restrict or expand the functionality of the app at any time. In the event of significant changes in the scope of services compared to the booked service, customers have the right to extraordinary termination.

(4) PAPERSPACE offers technical support via email at support@paperspace.ai and optionally via WhatsApp.

5. Obligations of the Customers

(1) Customers are prohibited from using the app and our services for purposes other than their own personal purposes without our express permission. Transferring the account to another person is not permitted.

(2) Customers are also prohibited from,

  • Introducing or attempting to introduce viruses, trojans, worms, or any other malicious code to the platform,
  • Hacking, manipulating, or attempting to manipulate the platform's software,
  • Using scripts and other automatable or semi-automatable methods to use the platform,
  • Bypassing or attempting to bypass the security features of the platform.
  • Renting out or commercially using the user account, sublicensing, or otherwise making it available to third parties, unless expressly permitted by PAPERSPACE.

(3) Customers are not allowed to take actions that would result in unreasonable or excessive strain on the PaperSpace App's infrastructure.

(4) Supported devices are iPhones or Android smartphones as well as desktop browsers. A functioning internet connection and an up-to-date operating system or browser version are required for using the service and are the responsibility of the customer.

6. Liability

(1) In all cases of contractual and non-contractual liability, PAPERSPACE is liable for damages or compensation for futile expenses in accordance with legal provisions in cases of intent and gross negligence.

(2) In other cases, PAPERSPACE is liable — unless otherwise regulated in para. 3 — only for the breach of a contractual obligation, the fulfillment of which makes the proper execution of the contract possible in the first place and on the compliance of which you may regularly rely (so-called cardinal obligations), limited to the compensation of the foreseeable and typical damage. In all other cases, liability is excluded, subject to the provision in para. 3.

(3) The liability for damages resulting from injury to life, body or health and under the Product Liability Act remains unaffected by the aforementioned liability restrictions and exclusions.

(4) PAPERSPACE is not liable for data loss due to any technical malfunction or discontinuation of services, or for responses of the AI chatbot or the correct automatic sorting of documents.

(5) PAPERSPACE is not liable for issues related to access and availability of the service if it is attributable to the customer's area of responsibility, nor for damages and disturbances caused by third parties in connection with the fulfillment of the contract.

(6) The customer indemnifies PAPERSPACE from any claims and any liability arising from the uploading of illegal or immoral documents.

7. Amendment to the Terms and Conditions

(1) PAPERSPACE reserves the right to change these General Terms and Conditions at any time and without giving reasons. The amended General Terms and Conditions will be communicated to you in written form at the latest two weeks before they come into effect. The amended General Terms and Conditions will be considered accepted if you do not object to them within two weeks of receiving the notification. In the notification of the amended General Terms and Conditions, PAPERSPACE will point out the deadline and the consequence of not raising an objection.

(2) The changes will be communicated via email.

8. Final Provisions

(1) We do not participate in any dispute resolution procedure before a consumer arbitration board in the sense of the Consumer Dispute Resolution Act.

(2) The laws of the Federal Republic of Germany apply, excluding the UN Convention on the Sale of Goods. If you are a consumer contracting party and at the time of your order, your usual residence is in another country, the application of mandatory legal provisions of that country remains unaffected by the choice of law made in sentence 1.

(3) For business entities, the place of jurisdiction is the location of PAPERSPACE.

(4) Should individual provisions of this contract be or become wholly or partially ineffective, the validity of the rest of the contract will not be affected. In place of the ineffective provision, a regulation that most closely corresponds to the purpose of the contract and the intentions of the parties when it was concluded will apply. The same applies in the case of unintended regulatory gaps.
